§ 1Agreement to These Terms

1.1 These Terms of Service (“Terms”) form a binding agreement between you and Guilty (“Guilty,” “we,” “us,” or “our”), governing your access to and use of the Guilty website, mobile experience, and related services available at guilty.fyi (collectively, the “Service”).

1.2 By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Service.

1.3 We may offer translated or localized versions of these Terms for convenience. The English-language version is the only authoritative version and will control in the event of any conflict or ambiguity.

§ 2Definitions

2.1 “Account” means the registered user profile you create to access the Service.

2.2 “Handle” means your unique public username, governed by Section 4.2.

2.3 “Receipt Content” means any image of a purchase receipt, invoice, or similar proof-of-purchase document that you upload to the Service.

2.4 “User Content” means Receipt Content together with any captions, “defense” text, comments, votes, reactions, or other material you submit, post, or transmit through the Service.

2.5 “TAB” means the internal reputation score described in Section 9.

2.6 “AI Features” means the automated receipt analysis, categorization, suspicious-activity detection, and redaction-suggestion functionality described in Section 8.

§ 3Eligibility

3.1 You must be at least 18 years old to create an Account or use the Service. By creating an Account, you represent and warrant that you meet this requirement.

3.2 You must be legally capable of entering into a binding contract in your jurisdiction. You may not use the Service if you are barred from receiving it under the laws of the United States, the Dominican Republic, or any other applicable jurisdiction, or if you have previously been suspended or removed from the Service.

3.3 The Service is not directed at, and we do not knowingly collect personal information from, anyone under 18. If we become aware that an Account belongs to someone under 18, we will take reasonable steps to terminate that Account and delete the associated data.

§ 4Your Account and Handle

4.1 Registration. You must register using a valid email address and a password meeting our security requirements. You agree to provide accurate information and to keep it current. You are responsible for all activity that occurs under your Account, whether or not authorized by you, and must notify us promptly of any unauthorized use.

4.2 Handles. Upon registration, you must select a unique Handle (3 to 20 characters; letters, numbers, and underscores only). Your Handle is your public identity on the Service and is not your real name. You may change your Handle subject to the following rule: your first change after registration may be made at any time at no cost; every change after that is permitted only once every fourteen (14) calendar days, measured from your most recent change. This limit is enforced at the database level as well as in the interface and cannot be bypassed by any means, including direct API requests. We may reclaim, reject, or reassign a Handle that infringes a third party’s rights, impersonates another person or entity, or violates Section 10.

4.3 Account Security. You are responsible for maintaining the confidentiality of your password. We are not liable for any loss arising from your failure to safeguard your credentials.

§ 5The Service

5.1 Guilty is a social platform on which users upload photographs of their own purchase receipts, receive automated categorization and redaction suggestions, and invite other users to vote (“Guilty” or “Justified”), react (“Like,” “Dislike,” “Roast,” or “Defend”), and comment on those receipts.

5.2 We may add, modify, suspend, or remove any feature of the Service, in whole or in part, at any time, with or without notice. We do not guarantee that any specific feature will continue to be available.

§ 6Your Content; Receipt Uploads

6.1 What You May Post. You may upload Receipt Content only if it depicts your own purchase, or a purchase you have the right to share, including any third-party names or details that may incidentally appear on it. You are solely responsible for confirming you have that right before posting.

6.2 License You Grant Us. You retain ownership of your User Content. By posting it, you grant Guilty a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, distribute, and create derivative works of (for example, redacted or resized versions of) your User Content, solely for the purpose of operating, promoting, and improving the Service. This license ends when you delete the content or your Account, except to the extent the content has been shared by other users, retained in backups for a reasonable period, or its removal is not reasonably practicable.

6.3 Your Responsibility for What You Post. You represent and warrant that your User Content does not violate any law, infringe any third party’s intellectual property or privacy rights, or contain information you are not authorized to share. We do not pre-screen User Content and are not responsible for it, but we may remove or restrict access to any User Content at our discretion, as described in Section 11.

6.4 Visibility and Persistence. Once posted, Receipt Content is visible to other users of the Service (and, depending on your settings, to the public) and may be viewed, screenshotted, or otherwise copied by others outside our control. Deleting a post removes it from the Service going forward, but we cannot guarantee removal of copies already made by other users or already cached elsewhere.

§ 7The Redaction Tool — Please Read Carefully

7.1 Guilty offers an automated tool, powered by the AI Features, intended to help you identify and obscure (through pixelation) portions of a receipt image that our systems believe may contain sensitive personal or financial information, such as full card numbers, names, addresses, or contact details.

7.2 This tool is provided for your convenience only and is not, and should not be treated as, a guarantee that all sensitive information will be detected or fully obscured. Automated detection of this kind can fail to identify sensitive information, can incorrectly flag information that is not sensitive, or can misplace the area it obscures.

7.3 Before confirming any post, you will be shown a preview of your receipt with suggested redactions applied, and you will have the opportunity to add, remove, or adjust those redactions, or to publish the image with no redaction at all. You are solely responsible for reviewing that preview and confirming you are comfortable with everything that will be visible before you publish. Once you confirm a post, Guilty is not responsible for any information that remains visible in the image you chose to publish.

§ 8AI Processing and Automated Features

8.1 How We Use AI. Certain features of the Service, including data extraction, categorization, suspicious-activity flagging, and the redaction suggestions described in Section 7, are powered by a third-party artificial intelligence model (currently Google’s Gemini API). When you submit a receipt for analysis, the image is transmitted to that third-party provider for processing, subject to our Privacy Policy.

8.2 Accuracy. AI-generated outputs, including category labels, extracted totals or line items, suspicious-activity flags, and redaction suggestions, may be inaccurate, incomplete, or wrong. They are provided on an “as-is” basis, and you should independently verify anything you rely on.

8.3 Rate Limits. We currently limit AI receipt analysis to ten (10) submissions per rolling twenty-four (24) hour period per Account. We may change this limit, or impose new limits on other AI Features, at any time without prior notice.

8.4 Suspicious Content Flags. If our systems detect signs that a receipt may be fabricated, edited, or mathematically inconsistent, the post may be labeled as unverified or flagged for review. A flag of this kind is an automated signal, not an accusation of wrongdoing, and may be removed on review.

§ 9TAB

9.1 Guilty tracks an internal reputation score, currently displayed as “TAB,” based on activity including posting receipts, receiving votes, reactions, or comments on your posts, and casting votes, reactions, or comments on other users’ posts. TAB is recalculated on a periodic basis (currently once every 24 hours) rather than in real time, and your displayed score may not reflect your most recent activity until the next update.

9.2 TAB (a) has no cash or monetary value of any kind, (b) cannot be purchased, sold, gifted, transferred, or redeemed for any good, service, or currency, (c) does not constitute property, a security, or a financial instrument, and (d) may be adjusted, recalculated, reset, or removed by us at any time and for any reason, including, without limitation, as a consequence of content confirmed to be fraudulent, manipulated, or posted in violation of these Terms.

9.3 We may change the name, mechanics, point values, or visibility of TAB, or discontinue it entirely, at any time.

§ 10Community Guidelines

10.1 The Spirit of Guilty. Guilty is built around lighthearted, voluntary judgment of one’s own spending choices. “Roasting” is part of the experience, but it has a line: it is directed at purchases people choose to share about themselves, not at people’s identity, appearance, or characteristics, and it does not extend to harassment.

10.2 Prohibited Conduct. You agree not to:

  • post Receipt Content that is not genuinely yours to share, or that you have edited or fabricated to deceive other users or manipulate votes, reactions, TAB, or rankings;
  • post content depicting illegal goods or services, or that otherwise violates applicable law;
  • harass, threaten, demean, or attempt to identify, locate, or “dox” any other user, including by attempting to defeat or work around the redaction tool;
  • post sexually explicit content, hate speech, or content that promotes violence or self-harm;
  • impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • use automated means (bots, scrapers, or similar tools) to access the Service, submit content, or cast votes or reactions;
  • attempt to circumvent rate limits, redaction tooling, content moderation, or any other technical restriction on the Service; or
  • upload content that infringes the intellectual property, privacy, or other rights of any third party.

§ 11Reporting and Enforcement

11.1 You may report User Content or other users you believe violate these Terms through the in-app reporting tools.

11.2 We may, at our sole discretion and without prior notice, remove or restrict access to any User Content, and suspend or terminate any Account, that we believe violates these Terms, applicable law, or the spirit of the Service described in Section 10.1.

11.3 We have no obligation to take any particular action in response to a report, and our decision not to act on a report is not a representation that the reported content complies with these Terms.

§ 12Intellectual Property

12.1 The Service, including its design, branding, software, and all content we create (excluding User Content), is owned by Guilty or our licensors and is protected by intellectual property laws. Except for the rights expressly granted to you in these Terms, we reserve all rights in the Service.

12.2 “Guilty,” the Guilty logo, and guilty.fyi are trademarks of Guilty. You may not use them without our prior written permission.

12.3 If you believe content on the Service infringes your copyright, you may send a notice to the contact address in Section 22 identifying the work claimed to be infringed, the material you believe is infringing, and your contact information. We will review and respond to valid notices in accordance with applicable law.

§ 13Third-Party Services

The Service relies on third-party infrastructure and providers, including hosting and database services (currently Supabase) and the AI Features described in Section 8 (currently Google’s Gemini API). Those providers’ own terms and privacy practices govern their handling of data to the extent applicable, and we are not responsible for their acts, omissions, or service interruptions.

§ 14Free and Paid Features

14.1 The Service currently operates on a freemium model. Certain features are provided free of charge; we may introduce paid tiers, subscriptions, or other paid features in the future.

14.2 If and when paid features are introduced, additional terms governing billing, renewal, and refunds will be presented to you at the time of purchase and will supplement these Terms.

§ 15Disclaimers

15.1 The Service, including all AI Features and the redaction tool, is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

15.2 We do not warrant that the Service will be uninterrupted, secure, or error-free, that any AI-generated output (including categorization, suspicious-activity flags, or redaction suggestions) will be accurate or complete, or that any defect will be corrected.

15.3 You use the Service, and choose what to post and what to leave visible on a receipt, at your own risk.

§ 16Limitation of Liability

16.1 To the maximum extent permitted by law, Guilty and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of the Service, including any sensitive information that remains visible on content you choose to publish.

16.2 To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or related to these Terms or the Service will not exceed the greater of (a) the amount you paid us, if any, in the twelve (12) months before the claim arose, or (b) fifty U.S. dollars (USD $50).

16.3 Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

§ 17Indemnification

You agree to defend, indemnify, and hold harmless Guilty and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your User Content, or your violation of these Terms or any applicable law.

§ 18Term, Suspension, and Termination

18.1 These Terms remain in effect for as long as you use the Service.

18.2 You may delete your Account at any time through the Service’s settings.

18.3 We may suspend or terminate your Account, or your access to any part of the Service, at any time, with or without cause or notice, including for any violation of these Terms.

18.4 Upon termination, your right to use the Service ends immediately. Sections 6.2 (as to content already shared), 9.2, 12, 15, 16, 17, 19, and 21 survive termination.

§ 19Governing Law and Dispute Resolution

19.1 These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles.

19.2 Any dispute arising from these Terms or your use of the Service will be resolved through binding arbitration in Delaware, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

§ 20Changes to These Terms

We may modify these Terms at any time. If we make material changes, we will provide reasonable notice, such as an in-app notification or an update to the “Last updated” date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

§ 21General Provisions

21.1 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Guilty regarding the Service, and supersede any prior agreements.

21.2 Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

21.3 No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.

21.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

21.5 Force Majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.

21.6 Headings. Section headings are for convenience only and do not affect interpretation.
